1. Overview

These Terms of Service govern your use of xysafetyworkwear.com (the “Site”) and any orders placed with Xinyou Workwear Co., Ltd. (“Xinyou,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to these terms.

2. Products & Specifications

All product descriptions, specifications, and images on the Site are provided for informational purposes. Actual products may vary slightly in color due to monitor settings, fabric dye lot variations, or production updates. We reserve the right to modify product specifications without prior notice. Critical specification changes will be communicated before order confirmation.

3. Orders & Minimum Order Quantity (MOQ)

Standard MOQ is 50 pieces per style per color for clothing, and 50 pairs per size run for footwear. Orders below MOQ may be accepted at our discretion with adjusted pricing. All orders require a written purchase order or email confirmation. Order acceptance occurs when we issue a Proforma Invoice (PI).

4. Pricing & Payment

All prices are quoted in US Dollars (USD) unless otherwise agreed. Prices are valid for 30 days from the quotation date. Payment terms: 30% deposit upon order confirmation, 70% balance before shipment after QC inspection. Accepted payment methods: T/T bank wire, PayPal (orders under $2,000), Western Union, and Trade Assurance via Alibaba.

5. Samples

Pre-production samples are produced within 5–7 business days of deposit payment. Standard catalog samples are provided free of charge; the buyer covers shipping costs. Customized samples may incur a development fee that is credited against the bulk order upon confirmation. Sample approval is required before bulk production begins.

6. Production & Delivery

Production lead times begin after deposit payment and sample approval. Standard production: 15–20 business days. Custom OEM orders: 25–35 business days. Repeat orders: 10–15 business days. Lead times are estimates and may vary due to material availability, order complexity, or force majeure events. We will notify you promptly of any significant delays.

7. Quality Control & Inspection

All products undergo in-line and final QC inspection to AQL 2.5 standards. We provide QC reports with photos upon request. Third-party inspections by SGS, Intertek, or Bureau Veritas are welcome at the buyer’s expense. We will not ship until the buyer releases the balance based on a satisfactory inspection report. Claims for defective goods must be submitted within 14 days of receipt with photographic evidence.

8. Shipping & Risk

Shipping terms follow the agreed Incoterm (EXW, FOB, CIF, or DDP). Risk of loss transfers to the buyer according to the applicable Incoterm. We recommend cargo insurance for all shipments. Xinyou is not liable for delays caused by carriers, customs clearance, port congestion, or force majeure events.

9. Intellectual Property

All content on the Site — including text, images, logos, and product descriptions — is the property of Xinyou Workwear Co., Ltd. and protected by applicable copyright laws. Custom OEM designs, logos, and artwork provided by the buyer remain the buyer’s intellectual property and will not be used by Xinyou for any purpose other than fulfilling the buyer’s order. We will sign NDAs upon request.

10. Warranty

Xinyou warrants that products will conform to agreed specifications at the time of shipment. Warranty period: 12 months for clothing (stitching, zippers, reflective tape delamination) and 6 months for footwear (outsole bond, upper stitching). Warranty excludes normal wear and tear, misuse, improper care (e.g., bleaching FR garments), or damage from unauthorized alterations.

11. Limitation of Liability

To the fullest extent permitted by law, Xinyou’s liability for any claim arising from an order is limited to the purchase price of the specific products giving rise to the claim. Xinyou shall not be liable for indirect, consequential, or incidental damages, including lost profits or business interruption.

12. Returns & Refunds

Returns are accepted only for verified manufacturing defects reported within 14 days of receipt. We will offer replacement in the next shipment, credit note toward future orders, or partial refund depending on defect type and quantity. Custom OEM products are non-returnable except for manufacturing defects. Return shipping costs for defective goods are covered by Xinyou.

13. Privacy

We collect and process personal data in accordance with our Privacy Policy. By using the Site, you consent to such processing. We do not sell, rent, or share your personal information with third parties except as necessary to fulfill your order (e.g., shipping carriers, customs brokers).

14. Governing Law

These Terms are governed by the laws of the People’s Republic of China. Any disputes arising from these Terms or any order shall be resolved through negotiation in good faith. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes constitutes acceptance of the modified Terms.
